Terms of Service

Effective Date: April 30, 2026

1. Agreement to Terms

By accessing or using the AI Media Agent platform and the Customer Cockpit at ai-media-agent.vercel.app (the "Service") operated by True North Automation Inc. ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Services Description

  • AI-powered marketing automation (content creation, social-media management, blog writing)
  • AI phone secretary / call answering service
  • Meta and Google advertising management and optimization
  • CRM services (quotes, invoices, order management)
  • Calendar and appointment management with optional Google Calendar two-way sync
  • Website and SEO services
  • Review collection automation

3. Account and Access

  • You are responsible for maintaining the confidentiality of your account
  • You must provide accurate information
  • You must be at least 18 years old and have authority to bind your business
  • You may connect third-party platforms (Google, Meta, LinkedIn, TikTok, Pinterest) via OAuth and disconnect them at any time

4. AI-Generated Content Disclaimer

  • Content generated by our AI systems is provided as a starting point
  • YOU are responsible for reviewing and approving all content before publication
  • True North is not liable for AI-generated content that is inaccurate, inappropriate, or causes harm
  • We recommend reviewing all content for accuracy, brand compliance, and legal requirements
  • AI-generated images and videos may not perfectly represent real products or services

5. Advertising Disclaimer

  • Meta/Google advertising results are not guaranteed
  • Past performance does not guarantee future results
  • Ad budgets are managed according to your instructions and AI optimization
  • True North is not liable for ad performance, changes in platform algorithms, or advertising costs
  • You are responsible for ensuring your ads comply with platform policies and applicable laws

6. AI Phone Secretary

  • Calls are answered by an AI system, not a human
  • Call recordings and transcripts are stored as described in our Privacy Policy
  • The AI secretary may provide general information but does not constitute professional advice
  • True North is not liable for miscommunications, missed calls, or incorrect information provided by the AI
  • Emergency calls should always be directed to 911, not our AI system

7. CRM and Financial Documents

  • Quotes, invoices, and orders generated through our system are tools for your business
  • YOU are responsible for the accuracy of pricing, tax calculations, and terms on your documents
  • True North does not provide accounting, tax, or legal advice
  • Consult a qualified accountant for tax obligations (HST collection and remittance)
  • True North does not process payments — all payments are handled directly between you and your clients (or via Stripe if enabled)

8. Third-Party Integrations

The Service integrates with third-party APIs (Meta, LinkedIn, Google, TikTok, Pinterest, Stripe, Vapi). We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of those platforms is governed by their respective terms. When you connect a Google account specifically, our use of information received from Google APIs adheres to Google's API Services User Data Policy, including the Limited Use requirements (see our Privacy Policy section 7 for detail).

9. Intellectual Property

  • Content created for your business belongs to you upon payment
  • Our AI systems, platform, code, and processes remain our intellectual property
  • You may not reverse-engineer, copy, or resell our platform or services

10. Payment Terms

  • Service fees are as agreed in your service contract or subscription plan
  • Payment is due within 14 days of invoice unless otherwise agreed
  • Late payments may result in service suspension after 30 days
  • All prices are in Canadian Dollars (CAD) unless stated otherwise

11. Limitation of Liability

  • True North's total liability shall not exceed the fees paid in the 3 months preceding the claim
  • We are NOT liable for: lost profits, lost data, indirect or consequential damages
  • We are NOT liable for: third-party service outages (Meta, Google, hosting providers)
  • We are NOT liable for: results from AI-generated content, ads, or recommendations
  • We provide services "as is" without warranties of merchantability or fitness for a particular purpose

12. Indemnification

You agree to indemnify True North Automation against claims arising from: your use of our services, content you publish, your violation of these terms, or your violation of any law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
